Terms of Service
Subscription terms, acceptable use, and service level agreements
1. Acceptance of Terms
These Terms of Service constitute a legally binding agreement between you and Avsentia LLC governing your use of the Avsentia platform and Dave, our AI-powered BC/DR planning assistant. By creating an account or clicking “I Agree,” you accept these Terms.
2. Subscription Plans

3. BC/DR Plan Storage
Avsentia does not store your BC/DR plan content by default. Plans are processed in real-time during your session and are not retained after the session ends. Optional Offsite Secure BC/DR Plan Storage is available as a paid add-on.
4. Payment and Billing
Subscriptions are billed in advance on a recurring monthly or annual basis via Stripe. All fees are in USD. Failed payments will result in account downgrade to the Free tier after a 7-day retry period.
5. Cancellation and Refunds
You may cancel at any time through account settings. Monthly subscriptions are not eligible for refunds for the current period. Annual subscriptions are eligible for prorated refunds for unused full months if canceled within the first 90 days.
6. Acceptable Use
You may not use the Service to:
- Generate or store illegal, harmful, or offensive content
- Attempt to probe or test system vulnerabilities
- Circumvent usage limits or create multiple free accounts
- Reverse-engineer or decompile the Service
- Resell the Service without a written reseller agreement
- Input PHI into Dave without an executed Business Associate Agreement
7. Intellectual Property
You retain full ownership of your BC/DR plans and content. Avsentia retains ownership of the platform, Dave, and all associated intellectual property.
8. Limitation of Liability
Avsentia’s total liability shall not exceed the greater of fees paid in the prior 12 months or $100. We are not liable for indirect, consequential, or punitive damages.
Advisory: Dave’s outputs should be reviewed by qualified personnel. Avsentia does not guarantee plans will meet all regulatory requirements without independent review.
9. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania. Disputes are subject to binding arbitration in Philadelphia, PA under AAA Commercial Rules.
